1. Acceptance of Terms

By accessing or using VidSurge at vidsurge.io ("Platform"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, you must not use our Platform.

These Terms constitute a legally binding agreement between you ("User", "you") and VidSurge ("we", "us", "our").

2. Service Description

VidSurge is a managed YouTube video promotion platform. Our service enables YouTube content creators to promote their videos through targeted Google Ads campaigns without requiring direct access to Google Ads. Specifically, VidSurge:

• Accepts YouTube video URLs and campaign parameters (budget, targeting, duration) from users
• Uses the Google Ads API to programmatically create and manage video advertising campaigns (Demand Gen and Performance Max types) on behalf of users
• Uses the YouTube Data API to retrieve publicly available video metadata for campaign setup
• Manages campaign budgets and deducts ad spend from users' VidSurge wallet balances
• Provides campaign performance reporting (views, impressions, cost) via our dashboard
• Offers customer support via live chat and email ticketing

VidSurge operates as an intermediary between users and Google Ads. We manage campaigns under our authorized Google Ads Manager Account (MCC). Users do not receive direct access to Google Ads accounts.

3. Google Ads API Compliance

3.1 Google Ads API Terms

Our use of the Google Ads API is governed by the Google Ads API Terms of Service. By using VidSurge, you acknowledge that:

• Campaigns created through VidSurge are subject to Google Ads Policies
• Google may reject, pause, or remove any campaign that violates its policies
• VidSurge is not liable for campaign rejections or removals made by Google
• You must only submit content you own or have the legal right to promote

3.2 YouTube Advertising Policies

All promoted videos must comply with YouTube's Community Guidelines and YouTube Advertising Policies. Videos that violate these guidelines cannot be promoted through our platform.

3.3 Data Usage Restrictions

Data retrieved via Google APIs (including campaign performance data from the Google Ads API) is used solely to provide the VidSurge service. We do not use this data for secondary purposes, profiling, or sale to third parties, in compliance with the Google API Services User Data Policy.

4. Eligibility & Account Responsibilities

• You must be at least 18 years of age to create an account and use our services.
• You must provide accurate, complete, and current registration information.
• You are responsible for maintaining the security and confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at customerservice@vidsurge.io if you suspect unauthorized access to your account.
• You may only create one account per person. Multiple accounts may result in suspension.
• You may only promote content you own or are explicitly authorized to promote.

5. Payments, Wallet & Fees

5.1 Wallet System

VidSurge uses a prepaid wallet system. You add funds to your wallet via DodoPayments, and campaign budgets are deducted from your wallet balance as campaigns run.

5.2 Pricing & Service Fees

Campaign costs include Google Ads spend plus a VidSurge platform service fee. The service fee and estimated views per dollar are displayed during campaign setup. Pricing is subject to change with notice.

5.3 Payment Processing

All payments are processed by DodoPayments and are subject to DodoPayments' Terms of Service. VidSurge does not store your payment card details. By adding funds, you authorize the charge to your selected payment method.

5.4 Non-Transferability

Wallet balances are non-transferable between accounts and have no cash value outside the VidSurge platform.

6. Prohibited Content & Conduct

You may not use VidSurge to promote content that:

• Violates YouTube's Community Guidelines or Google Ads Policies
• Is misleading, deceptive, or contains false claims
• Promotes hatred, discrimination, or violence against any group
• Contains adult, sexually explicit, or age-restricted content
• Infringes any third party's intellectual property, trademark, or copyright
• Promotes illegal products, services, or activities in any jurisdiction
• Constitutes spam, clickbait, or engagement-baiting
• Promotes counterfeit goods or unauthorized financial services
• Violates applicable data privacy laws or regulations

You also may not: attempt to reverse-engineer our platform, use automated bots to interact with the service, attempt to circumvent security measures, or use VidSurge to harm other users or third parties.

7. Campaign Policy & Content Standards

VidSurge reserves the right to review, reject, or pause any campaign that we determine, at our sole discretion, violates these Terms, Google's policies, or applicable law. We are not obligated to provide reasons for campaign rejection.

Users acknowledge that campaign approval is ultimately determined by Google Ads, and that VidSurge cannot guarantee approval of any particular campaign or video.

8. Refunds & Chargebacks

8.1 Unspent Balances

Unspent wallet balances may be eligible for refund upon written request to customerservice@vidsurge.io. Refund requests are subject to review and may take up to 14 business days to process.

8.2 Spent Campaign Funds

Amounts already disbursed to Google Ads for active or completed campaigns are non-refundable, as these funds are paid directly to Google and cannot be retrieved by VidSurge.

8.3 Chargebacks

Initiating a chargeback for funds that have been legitimately added to your wallet and used for campaigns may result in immediate account suspension and recovery of outstanding amounts.

9. Service Availability & Performance

We strive for high platform availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance where possible.

Campaign delivery performance (views, impressions) depends on Google Ads and YouTube algorithms, audience competition, and market conditions, which are outside VidSurge's direct control. Estimated view counts provided at campaign setup are projections based on average cost-per-view rates and are not guaranteed.

10. Intellectual Property

All content, design, code, and intellectual property on vidsurge.io — including our logo, interface design, and software — is owned by or licensed to VidSurge and is protected by applicable intellectual property laws.

You retain ownership of any YouTube content you submit for promotion. By using VidSurge, you grant us a limited, non-exclusive license to use video metadata and thumbnails solely for the purpose of creating and displaying your campaigns within our platform.

11. Termination & Suspension

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms or Google's advertising policies
• Submission of prohibited or fraudulent content
• Chargebacks or payment disputes
• Any activity that poses a risk to our platform or other users

You may delete your account at any time by contacting customerservice@vidsurge.io. Upon account termination, active campaigns will be paused and unspent balances may be refunded subject to Section 8.

12. Disclaimers & Limitation of Liability

VidSurge is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by applicable law, VidSurge shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of revenue, profits, or business opportunity arising from campaign performance
• Campaign rejection or removal by Google Ads or YouTube
• Interruptions or errors in Google's or DodoPayments' services
• Loss of data due to third-party infrastructure failures

Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid to VidSurge in the 3 months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless VidSurge and its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: your use of the Platform, your violation of these Terms, your violation of Google's or YouTube's policies, or your infringement of any third-party rights.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of Telangana, India. Any disputes arising from these Terms or your use of VidSurge shall be subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana, India.

15. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email or a prominent notice on vidsurge.io at least 7 days before the change takes effect. Continued use of VidSurge after the effective date constitutes acceptance of the revised Terms.
